Creator Agreement - Underfy (Cornhuskerdepot LLC)

By creating a seller account on Underfy and accepting the platform's terms and conditions, the Creator explicitly agrees to and accepts this Agreement.

This Creator Agreement ("Agreement") is entered into by and between Underfy, operated by Cornhuskerdepot LLC ("Platform"), and the undersigned Creator ("Creator").

1. Purpose: The Platform offers an online marketplace allowing Creators to sell digital products—such as original images, videos, and digital art—as well as worn fetish physical items, including clothing, underwear, and related articles.

2. Creator Obligations: The Creator warrants that all products are original creations, authentically depicted, and free of copyright infringement. Creators must ensure accurate descriptions, authentic representations of items, and compliance with applicable laws and Platform policies.

For worn fetish items, Creators explicitly guarantee that all products will be free from harmful contamination, including chemical, viral, bacterial, fungal, or other hazardous contaminants.

3. Fees and Payments: The Platform charges a total fee of 30% per sale, broken down as follows:

• Platform Commission: 15%

• Transaction Fees: 15%

Example:

• Sale price: $100 USD

• Platform earnings: $30 USD

• Creator earnings: $70 USD

Creators bear all transaction fees deducted directly from their earnings. Payouts are processed monthly to the Creator’s selected payment method.

4. Licensing and Intellectual Property: Creators grant the Platform a non-exclusive, worldwide license to market, promote, and sell digital and fetish physical items listed. Customers receive rights to use purchased items for personal, non-commercial purposes only. Redistribution or resale is strictly prohibited.

Creators retain full ownership of their intellectual property rights and agree to indemnify the Platform against any claims related to intellectual property infringements.

5. Privacy and Confidentiality: Both parties agree to maintain strict confidentiality regarding all customer data, Creator information, proprietary business practices, and any other sensitive or private data.

6. Content Standards: All content must adhere to Platform guidelines and must not contain illegal, defamatory, discriminatory, or otherwise offensive material. Creators are responsible for monitoring and ensuring compliance with these standards.

7. Liability and Indemnification: The Platform will not be held liable for indirect, incidental, special, or consequential damages arising from this Agreement or use of the Platform. Creators agree to indemnify and hold harmless the Platform from all claims, damages, or legal actions resulting from their listings or products.

8. Termination: Either party may terminate this Agreement at any time with written notice, due to breaches, mutual agreement, or non-compliance with Platform policies. Upon termination, Creators are obligated to fulfill pending transactions.

9. Governing Law and Dispute Resolution: This Agreement shall be governed by the laws of the state in which Cornhuskerdepot LLC is registered. Disputes arising from or related to this Agreement must first attempt resolution through arbitration.

10. Amendments: Modifications to this Agreement require mutual written agreement.

11. Miscellaneous: This document constitutes the entire agreement between the Platform and the Creator and supersedes all prior agreements, oral or written, between both parties.
